These Terms of Engagement ("Terms") govern the relationship between CrownAxis Talent ("Consultant") and candidates and employers ("Client") who engage our executive search and talent advisory services. By submitting a profile or inquiring about our services, you agree to these Terms.

2. Services Provided

CrownAxis Talent provides executive search, talent advisory, and leadership placement services including:

• Confidential candidate representation and profiling
• Identification and evaluation of leadership opportunities
• Strategic alignment between candidates and employers
• Consultation and guidance throughout the placement process

3. Candidate Obligations

As a candidate, you agree to:

• Provide accurate and truthful information in your profile.
• Maintain confidentiality regarding any opportunities discussed.
• Respond promptly to communications from CrownAxis Talent.
• Inform us of changes to your contact information or job status.
• Act professionally in all interactions with potential employers.

4. Employer Obligations

As an employer client, you agree to:

• Provide accurate information about open positions and requirements.
• Maintain confidentiality of candidate information shared with you.
• Respect the confidentiality of the search process.
• Provide timely feedback on candidate submissions.
• Honor commitments regarding interview and offer timelines.

5. Confidentiality

Confidentiality is fundamental to our practice. All parties agree to:

• Keep all information shared during the process strictly confidential.
• Not disclose candidate identities without explicit written consent.
• Not disclose employer search activities without approval.
• Use information only for the purposes of the executive search process.

6. Placement Fees

Fee structures vary based on the scope of work and agreement terms:

• For employers: Fees are typically structured as a percentage of first-year compensation.
• Fees are due upon successful placement and acceptance of offer.
• Specific fee arrangements will be documented in a separate engagement letter.

7. Limitation of Liability

CrownAxis Talent provides services on an "as is" basis. We do not guarantee placement success or specific employment outcomes. Neither party shall be liable for indirect, incidental, or consequential damages arising from engagement with our services.

8. Termination

Either party may terminate engagement at any time with written notice. Upon termination, all confidentiality obligations remain in effect, and any outstanding fees become due.

9. Non-Solicitation

Candidates and employers agree not to directly solicit or hire individuals or fill positions discussed through CrownAxis Talent services without our involvement, for a period of 12 months following initial introduction.

10. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiation. If negotiation fails, disputes may be subject to mediation or arbitration as agreed by the parties.

11. Changes to Terms

CrownAxis Talent reserves the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued engagement constitutes acceptance of revised Terms.
